Terms of Service Provided by SaberTask LDA

These Terms and Conditions (the “Business Terms”) apply as a contractual relationship between the Customer (the “Customer”) and SaberTask LDA, CV number: PT518467546 (“WinterManager”).

1. SERVICE PERFORMANCE

1.1. WinterManager makes available software through its website, mobile platforms or similar (the “Software”) which enables the Customer to manage and optimize winter operations through self-service. The customer can manage customers, addresses, subcontractors and routes. (collectively referred to as the “Service”).

1.2. The scope of the Service is defined based on the Customer's choice of service package, which may contain more or fewer features (the “Service Package”). The selection will be made in cooperation with WinterManager and will be stated on the agreement letter. In addition to the Service, WinterManager may offer additional services that are included in the Service Packages. These additional services are included in the definition of the Service. Delivery under the individual Service Packages may be subject to a payment.

1.3. Through the business relationship between the Customer and WinterManager, the Customer obtains a non-exclusive access to the Software. This also applies to the Customer's choice of additional services. Accordingly, the Customer will not own the Software or Services or any copy or part thereof. In the Customer's choice of additional services, there may be independent conditions which must be accepted in conjunction with these Terms of Business.

1.4. Access to use the Service, including the Software, may be made solely for the purpose of the Customer and applies exclusively to the Customer and its subcontractors. When registering for the Service, both the Customer and its subcontractors must have their own unique username and password for the use of the Service. It is the Customer's duty to ensure that the Customer and subcontractors maintain the necessary security to protect the username and password in order to prevent misuse, etc. of the Service.

1.5. The Service includes assistance for the general use of the Service. Such assistance may be provided by WinterManager or one of WinterManager-approved Third Parties with whom the Customer enters into an agreement through the Service.

2. ACCEPTANCE AND PERMISSION

2.1. By registering the Customer on WinterManager's platform, the Customer accepts the Business Terms of Service and as the applicable contractual relationship between the Customer and WinterManager. The Terms and Conditions also apply to third parties who may perform work on behalf of the Customer in relation to the Service.

2.2. The service, including additional services, is provided to the Customer as a business operator, including even if the Customer's employees gain access to all or part of the Software and the information contained therein as employees.

2.3. The Customer agrees that WinterManager and its Third Parties may conduct marketing to the Customer and Subcontractors (the “Subcontractors”). The Customer may revoke such consent in writing.

2.4. The Customer and its Subcontractors authorize WinterManager and its Third Parties to market its products and services to the Customer and its Subcontractors. Marketing can be done through various media and forms of communication, including emails, for example.

2.5. The Customer accepts WinterManager's other policies, including the Privacy Policy and Cookies Policy, which are available in the current version on WinterManager's website at any time. The other policies shall be deemed to form an integral part of these Terms and Conditions.

3. THIRD PARTIES

3.1. In order to provide the Service and any additional services, WinterManager may make use of suppliers and similar business partners (“Third Parties”). The Customer accepts and permits that information uploaded in connection with the Service may be processed by and exchanged with Third Parties working with WinterManager, provided that WinterManager has entered into a data processing agreement with the relevant Third Parties.

3.2. If Third Parties offer additional services through the WinterManager Service (open API (application programming interface)), the use of the additional services is subject to that Third Party's terms. The Customer shall release WinterManager from any liability in connection with the use of such Third Party's additional services.

3.3. If the Customer or the Subcontractor uses additional services provided by Third Parties in connection with the use of the Service, information may be exchanged between the Service and any additional services. The Customer accepts that WinterManager is not responsible for such exchange, processing and storage of information by the Third Party that is beyond the scope of the data processing agreements with the relevant Third Parties, cf. clause 3.1, as an independent legal relationship arises between the Customer and/or Subcontractors and the Third Party through the use of additional service.

4. CUSTOMER'S DUTIES AND RESPONSIBILITIES

4.1. The Customer, including its Subcontractors, is solely responsible for the accuracy and quality of the information recorded and used in the Software. It is therefore the Customer's responsibility that the information transmitted to WinterManager for the purpose of entering and registering in the Software - and to be used in connection with the use of the Service - is correct. The Customer must therefore independently ensure that the information is correctly recorded in the Software. It is the Customer's responsibility to ensure that the information used in the Service is updated correctly at all times.

4.2. As part of the Service, WinterManager will, as far as possible, obtain information from relevant authorities and registries to ensure that the Customer's entered information is up to date. The collection of information can be carried out continuously and automatically. It should be noted that if information has to be obtained from authorities or registers from countries other than Denmark, this may mean that it cannot be obtained automatically. In such a case, the Customer, including its Subcontractors, will have to register the information themselves. The WinterManager website will show which country authorities and registries from which information can be obtained.

4.3. Accessing personal information by, for example, entering a social security number can be a criminal offence and incriminating. It is the Customer's responsibility to ensure that the Customer and its employees do not gain unauthorized access to personal information. Violation of this may result in the immediate termination of the contractual relationship between the Customer and WinterManager.

4.4. In order to ensure that WinterManager can fulfill its obligations in connection with the provision of the Service, the Customer grants WinterManager the right to use the information provided and entered in the Software. It is the Customer's duty to ensure that WinterManager has the necessary permissions, proxies, agreements and credentials from the Customer's Subcontractors necessary for WinterManager to provide the Service. Thus, it is also the Customer's responsibility to ensure that the subcontractors covered by the Service have consented to the data processing that is part of the Service.

4.5. Depending on the Service Package selected by the Customer, the Service provides the Customer with access to certain information and the Software sends information to the Customers' e-mail. It is the Customer's responsibility to ensure that its addresses are aware of access to the Service. If this customer does not wish to receive information through the options offered by WinterManager in connection with the Service, it is the Customer's sole responsibility to ensure that the information is delivered to these addresses by other means.

4.6. The Customer may not allow others access to the Service, including the Software, without having a direct agreement with WinterManager. The Customer and he/she will then both be responsible for actions taken on behalf of the Customer. If he/she is approved by WinterManager, the Customer is entitled to give him/her access to use for specified tasks with the consent of WinterManager. If the administration is carried out by persons other than the Customer, the Customer is entitled to provide such third parties with access to the Service with the consent of WinterManager. Approved parties can either be found on WinterManager's website or by contacting WinterManager.

4.7. It is the Customer's responsibility that the Service is not used in a manner contrary to relevant legislation or other regulation, or that WinterManager's name, reputation or goodwill suffer damage. Violation of this may result in the immediate termination of the contractual relationship between the Customer and WinterManager.

4.8. Upon the Customer's acceptance of the Business Terms, it is also confirmed that the Customer is not in competition with WinterManager or works for companies that are in competition with WinterManager. In competition with is defined by the fact that the Customer works in or is the owner of a company that sells the same or similar product as the Service Provider. All software, design, architecture, text and the like are protected by copyright, while names and proprietary terms may be trademarks used. Any breach of this can be prosecuted and demands for payment or recognition will take place.

5. PRICE AND TERMS OF PAYMENT

5.1. Depending on the Customer's choice of Service Package, the price will be adjusted accordingly. In addition, the price may increase when choosing additional services that are not part of a Service Package. The price of the Service Packages will be stated in Danish kroner (DKK) and excluding VAT and can be found in the agreement letter.

5.2. WinterManager may change prices with one month's notice. Changes in exchange rates, taxes, insurance, the net price index and costs to Third Parties cause WinterManager to adjust prices to leave WinterManager unchanged. In the event of such a change, the Customer may be notified of this via WinterManager's Website or e-mail. If the Customer does not agree to a change in the price, the Customer may terminate the contractual relationship between the Customer and WinterManager with immediate effect, however, so that the Customer will continue to pay for actual use of the Service until the time of termination. In this connection, the Customer cannot bring any compensation or other compensation claims against WinterManager.

5.3. After each month of using the platform, the Service Provider will automatically generate an invoice for the Customer. The invoiced amount for the Service will be paid by the Customer to WinterManager through the registered payment solution recognized by WinterManager.

5.4 The seasonal fee is billed once a year on November 1 for all active locations. For locations commencing after the start of the season, the season fee will be billed as soon as possible after addition. The price is calculated proportionally based on the amount of time left of the season (a total of 6 months). All season fees are binding for the selected period and are non-refundable upon mid-season cancellation.

5.5. If the Customer does not pay the invoiced amount in a timely manner, WinterManager may initiate a withdrawal procedure containing deadlines and fees using the Customer's provided e-mail. The Customer agrees that jerkers sent by WinterManager to the Customer shall be deemed delivered using the Customer's email. If the non-payment for the Service continues, access to the Service and accompanying additional services may be blocked. The blocking will be lifted upon receipt of the Customer's payment, unless WinterManager has terminated the Business Terms with the Customer.

It's 5.6. In case of late payment of what was invoiced to the Customer, an interest rate of 2.75% per month will be added on the amount due and until payment is made.

6. INFORMATION AND SECURITY

6.1. Information, including information about addresses and subcontractors, registered in the Service is the property of the Customer. The customer may request that the registered information be provided in an electronic format chosen by WinterManager. Furthermore, the Customer has the opportunity to obtain electronic copies and/or make printouts of the relevant data generated in connection with the Service. Upon termination of the Terms and Conditions, the Customer will have access to the information for six months, after which WinterManager may delete the information permanently without further liability. The customer has the option to extend the period prior to deletion by written request to WinterManager. WinterManager may charge for this if costs are to be expected.

6.2. The subcontractor has the right to obtain electronic copies and/or make printouts of their data generated in connection with the Service. Access to it shall cease six months after the termination of the Terms of Business between the Customer and WinterManager, after which WinterManager may delete the information permanently without further liability.

6.3. The Customer and Subcontractors, after the six months of access, no longer have the right to demand the provided information recorded or used in the Service. In addition, notwithstanding the other provisions of this section, WinterManager is entitled to continue to retain the information for as long as WinterManager deems it necessary to comply with a legal obligation. WinterManager is also entitled to store the Customer's and Subsuppliers' information after the termination of the Agreement for the purpose of possible follow-up of the contractual relationship between the Customer and WinterManager and for marketing purposes, as well as to use the information in anonymised form for statistics and analysis.

6.4. As a rule, WinterManager does not have access to the information that the Customer or the Subcontractor has registered and uses in the Service. The exception to this is WinterManager's specially appointed employees, who in certain cases have access to the Customer's and Subcontractor's information. These appointed employees will be subject to professional secrecy.

6.5. WinterManager uses Third Parties to provide services and hardware such as servers and databases to support the Service to the Customer. When using the Service, information about the Customer and Subcontractors will be exchanged between the Service Provider, the Customer and the relevant authorities and registers necessary for the Service to be provided. The exchange of information will be equivalent to that if the Customer provided the Service himself.

6.6. The exchange of or access to information, such as personal data, through the Service between the Customer and third parties assisting the Customer is the responsibility of the Customer.

6.7. WinterManager may, in special cases and with the consent of the Customer and the Subcontractor, transfer statistics, information derived from the information contained in the Service to third parties. Such information will be anonymised so that no personal data can be transferred that can identify the Customer, the Subcontractor or their addresses.

6.8. Where it is deemed reasonable, for example, on the basis of a loss of value, WinterManager may provide third parties and authorities with access to information about the Customer, the Subcontractor and its addresses, for example in connection with judgments, regulatory requirements, and other cases where the law obliges WinterManager to disclose information.

6.9.The customer may request the deletion of data after the termination of the agreement, provided that no other storage is required by law. WinterManager stores data for up to six months after termination, after which it is permanently deleted

6:10 a.m. WinterManager has taken the necessary security measures against the unlawful or accidental deterioration, loss or destruction of the information used in the Service, as well as against the information being misused, brought to the attention of unauthorised persons or processed in violation of the Personal Data Processing Act.

6:11 a.m. When using the Service where the Customer uses information, user names or passwords originating from third parties, the Customer warrants that the disclosure of such information and WinterManager's data processing of such information does not violate any rights or agreement with third parties. Customer shall indemnify WinterManager for any loss WinterManager may suffer as a result of this provision.

7. CHANGES AND ASSIGNMENT OF THE SERVICE OR TERMS

7.1. Changes to the Service and additional services can be made by WinterManager. In addition, WinterManager is entitled to change the form and structure of the Service and any additional services. Any change may be made with or without notice and in accordance with these Terms and Conditions. A change may affect parts of the Service, including information recorded and stored in the Software with the exception of address data.

7.2. The Terms and Conditions may be changed at any time by WinterManager without notice to the Customer as long as the Customer is informed in writing of the changes, which may occur in connection with charging or in connection with general information, e-mails, etc. The business terms and conditions are available on WinterManager's website. The Customer's continued use of the Service after changes to the Terms of Business have been made, the changes are considered accepted. The Customer has an obligation to keep itself informed of changes in the Terms and Conditions. If the Customer does not accept the changes, the Customer may consider itself terminated provided that notice of this is given to WinterManager immediately. Any claim for compensation or other compensation against WinterManager will not be made by the Customer or its addresses.

7.3. The rights and obligations granted to WinterManager by these Terms and Conditions may be transferred in whole or in part by WinterManager to affiliated companies or third parties.

7.4. The Customer is not entitled to transfer rights and obligations and access to the Service to third parties, in whole or in part. However, the Customer may, with WinterManager's consent, grant access to advisors or third parties as further described in these Terms and Conditions.

8. INTELLECTUAL PROPERTY RIGHTS

8.1. With the exception of the Customer's information that the Customer or WinterManager has registered or entered into the system, the Software and the information generated by the Software are protected by copyright and other intellectual property rights and belong to or are licensed to WinterManager. When providing the Service, the Customer receives only one right of use, and the intellectual property rights of WinterManagers and/or third parties are not transferred to the Customer.

8.2. In case of any suspicion of an infringement or actual infringement of WinterManager's intellectual property rights or unauthorized use of the Service that the Customer becomes aware of, the Customer shall notify WinterManager.

8.3. The information that the Customer and its Subcontractors record, disclose and/or enter in connection with the use of the Service is the property of the Customer and/or its Subcontractors. WinterManager may, with the consent of the Customer and/or its Subcontractor, have access to use the aforementioned information.

9. WINTERMANAGER'S RESPONSIBILITY AND CONFIDENTIALITY

9.1. It is the Customer's responsibility to ensure that the information recorded in connection with the use of the Service does not infringe the rights of third parties or may appear offensive or violate relevant legislation or other regulation.

9.2. The Service is made available by WinterManager in its current state at all times, as it may be at the time of Customer's use thereof. WinterManager disclaims any warranties, warranties, warranties, claims or other terms other than as set forth in these Terms and Conditions.

9.3. In connection with the Customer's use of the Service, WinterManager disclaims any liability for any loss that the Customer may incur thereby, regardless of whether such loss may arise in or out of contract, whether consequential or other indirect losses, operating losses, losses due to product liability, loss of information or other losses resulting from simple negligence on the part of WinterManager.

9.4. The Customer has an obligation to notify WinterManager of errors in the Service, which the Customer becomes aware of. WinterManager is solely responsible for correcting the error that the Customer or WinterManager has become aware of.

9.5. Additional services and other services provided by Third Parties that are available in connection with the Service and which the Customer has actively chosen to use, WinterManager is not responsible for. Therefore, WinterManager cannot be held responsible for the accuracy, quality, completeness and reliability, etc. of the information, nor the results generated through the additional services, nor for the functionality, availability or security of Third Parties. It is the responsibility of the Customer to provide proof that any loss suffered by the Customer is due to liability errors on the part of WinterManager.

9.6. The Customer agrees that regardless of any loss or liability incurred by the Customer, WinterManager's total liability may not exceed a maximum amount equal to the previous 12 months invoiced amounts prior to the commencement of the liability relationship, but not more than DKK 50,000.

9.7. WinterManager shall be held harmless by the Customer against any claim or loss arising from product liability, loss or liability of third parties, including Third Parties, to the extent that it arises from the Customer's negligent or intentional use or misuse of the Service.

9.8. WinterManager and its employees have a duty of confidentiality with respect to all information directly attributable to the Customer that WinterManager may become aware of the Customer, Subcontractors or their addresses, and do not have a right to disclose such information to third parties unless such information is publicly available or where WinterManager is required to disclose the information by law or by an authority or court, or where the disclosure is made In addition, this is justified by the present Terms and Conditions.

10. OPERATION AND FORCE MAJEURE

10.1. WinterManager aims for high operational stability and will restore normal operation as soon as possible in the event of a breakdown or disruption. Maintenance and upgrade of the Service and additional services will, as far as possible, be placed between 15.00-22.00 CET and will be notified in advance.

10.2. WinterManager is not responsible for losses incurred as a result of breakdowns or service disruptions. WinterManager is not required to replace such losses. Even in areas where more stringent liability applies, WinterManager is not liable for losses caused by:

— Damages of data or lack of access to or crashes in IT systems attributable to the events listed below, whether WinterManager or a Third Party is in charge of operations.

— Power or telecommunication failures to WinterManager, natural disasters, war, insurrection, pandemics, civil unrest, legal or administrative action, sabotage, terrorism or vandalism (including computer viruses and hacking)

— Conflicts such as strikes, lockouts, boycotts or blockades, whether directed at or instigated by WinterManager itself or its organisation, and for whatever reason. This also applies when the conflict only affects parts of WinterManager's business.

— Other circumstances beyond WinterManager's control.

11. TERMINATIONS OF SERVICES

11.1. By registering for the Services, the Customer agrees to the Terms and Conditions. The Terms and Conditions shall run until termination of the contractual relationship between the Customer and WinterManager in accordance with these Terms. The Agreement may be terminated without notice or fee, but all unpaid fees will be collected in one invoice and sent to the Customer upon termination.

11.2. Termination of the season fee must be made in writing by October 31 to avoid charging an address fee for the upcoming season. In the absence of timely termination, the Customer undertakes to pay the address fee for the upcoming season.

11.3. WinterManager may terminate the contractual relationship with the Customer and thereby the Business Terms with 3 months' notice, or without notice in the event of the Customer's material breach of these Terms of Business or upon the Client's bankruptcy or insolvency.

11.4. In order to terminate the contractual relationship, the Customer must send an e-mail to kontakt@WinterManager.dk or contact their associated contact person at WinterManager.

12. DISPUTES

12.1. These Terms and Conditions shall in all respects be read, interpreted and completed in accordance with Danish law. Any dispute arising out of these Terms and Conditions and the resulting legal relations between the Customer and WinterManager, their interpretation or completion, shall be brought before the City Court in Copenhagen.

Who is WinterManager designed for?

WinterManager is designed for service companies, property managers and greenkeepers. You have the option to create users with multiple permissions (Adminstrator, Customer Service, Subcontractor & Drivers) so they can see exactly what they need.

You can also share links to each property so that your customers can keep track of when you last visited and serviced the property.

How does synchronization work for the accounting programs?

    WinterManager is currently built for E-Conomic and Microsoft Dynamic Navision, but we are constantly working on developing for other applications.

    After each run, an invoice line is created for your stops. You define your own prices under each address. These lines are laid out as a draft. Whenever you wish, you can export the lines over to your desired accounting program, or as a CSV file.

    How do I add addresses to the system?

    When you start collaborating, you will be taken through an onboarding process where you can import all your addresses and prices through CSV files. We will be happy to help you with this as well.

    You can import customers f.x. from e-Conomic in the platform by going to settings and entering the customer number.

    You can also create customers directly in the platform.
